1. Communication
All approvals, notices, instructions, and requests must be provided in writing and delivered by hand, courier, post, or authorized email. Oral communication shall not be considered valid unless issued during an emergency and confirmed in writing within 7 days.
2. Commercial Terms
2.1 Payment Terms
- 60% — Advance with confirmed order
- 30% — On delivery of materials
- 5% — On completion of installation
- 5% — One month after handover (post quality review)
We reserve the right to suspend work for delayed payments and resume only after satisfactory payment assurance.
Alternative Payment Option: Irrevocable Letter of Credit for 100% order value.
2.2 Ownership of Materials
All supplied equipment and materials remain company property until full payment is received and the elevator is officially handed over. In case of default, we reserve the right to remove supplied equipment at purchaser’s cost.
2.3 Taxes
All applicable taxes at the time of supply shall be borne by the purchaser.
2.4 Quotation Validity
Quotations remain valid for 30 days unless otherwise specified.
3. Confidentiality & Intellectual Property
All designs, drawings, technical data, processes, and proprietary business information shared by us are confidential. The purchaser shall not disclose, reproduce, or share any proprietary information during or after the contract period.
4. Warranty & Service
4.1 Standard Guarantee
Equipment is covered for 12 months from the date of handover. This includes repair or replacement of defective parts but excludes damage caused by misuse, negligence, or vandalism.
4.2 Free Service
Periodic maintenance for the first 12 months from handover date, irrespective of building readiness delays.
4.3 Extended Warranty
Extended warranty up to 3 years is available subject to renewal of Annual Maintenance Contract (AMC).
5. Engineering Documentation
General Arrangement Drawings (GAD) will be issued after order confirmation, advance payment, and receipt of complete site details. Construction should proceed only after drawing approval.
6. Delivery & Installation
- Material delivery within 8 weeks after approvals & site readiness
- Installation completed within 10 weeks after delivery
We are not responsible for delays due to:
- Payment non-compliance
- Incomplete civil works
- Power supply unavailability
- Licensing delays
- Missing technical details
7. Site Readiness Responsibilities
- Completed shaft and civil works
- Waterproofed pit
- Ventilated machine room
- Electrical supply and lighting
- Safe storage space
- Proper access & safety compliance
8. Testing & Quality Assurance
All materials and components undergo strict quality checks at manufacturing facilities and supplier locations prior to dispatch.
9. Handover
Elevator handover occurs after installation completion, final payment clearance, and statutory inspections where applicable. Warranty begins from handover date.
Unauthorized usage before handover is prohibited and liability rests with the purchaser.
10. Maintenance
Free maintenance (if included) covers inspection, adjustment, and lubrication for 12 months. Damage due to misuse or accidents is excluded.
11. Contract Cancellation Charges

12. Force Majeure
We are not liable for delays caused by events beyond reasonable control including natural disasters, strikes, government actions, war, transport disruptions, power shortages, or raw material unavailability.
13. Limitation of Liability
We shall not be liable for indirect or consequential damages including loss of profit or business. Maximum liability shall not exceed the contract value.
14. Dispute Resolution
Disputes shall first be resolved through mutual consultation. If unresolved, disputes shall be settled through arbitration under applicable jurisdiction laws.
15. Site Safety & Civil Requirements
The purchaser is responsible for civil construction, structural readiness, electrical infrastructure, and safe working conditions. Any deviation from approved drawings may attract additional cost.
16. Unauthorized Usage
Equipment shall not be used before official handover. Unauthorized usage includes transporting goods, public access, or structural use.
17. Acceptance
This agreement becomes legally binding upon signature by both parties.
